We are completing a small acquisition of an ISP called PenNet for 
an undisclosed sum of cash and stock.  The new Company is called 
Tekscape and will soon be located at Tekscape.com.

Are you undercapitalized, have over 200 clients, in a growth geographical
area (doesn't matter the geographical area), having cash flow or other
business related problems, liabilities more than your assets, need some
cash or would just like to be a part of the next (i.e) UUNET or 
Netscape-stock wise?  Then we have found you!

We are looking for other ISPs (small and large) to join our team and 
to jointly become one of the leading nationally and internationally 
known ISP.  We bring to the table experience, management, cash, contacts
internationally (emphasis on Central and South America, as well as some
in Europe and other parts of the world which are virtually untapped and
a public vehicle (in the process) to raise additional cash and, further,
an opportunity, which obviously cannot be guaranteed, to be part of 
these large deals on Wall Street as far as stock valuation and the
perception of a company worth an estimated 10 to 25 to 100 times earnings,
which is closer to 20 as an average according to the Internet Report by
Morgan Stanley.  Look at Yahoo!, Excite, Netscape, UUNET and others-what
do they have that you don't, nothing!  Only capitalizing on the budding
and exploding Internet market and perception of the story before the
Internet was where it is today.

There are an estimated 3,000 ISPs worldwide and only 4 to 6 major players,
along with telcos, and online services and 70,000 BBSs.  Our goal is to 
be part of the 4 to 6 by combining some of the selected 3,000!  

Also, looking to combine services and work with select BBSs by utilizing
their potential databases and existing clientel and numbers (as it is all
a numbers game).
